Terms of Service Agreement

These Terms of Service (“Agreement”) govern your access to and use of the services provided by AIFIRM (“Company,” “we,” “us,” or “our”). By signing up for, accessing, or using any of our services, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

1. Free Setup Period

All new Clients receive a 30-day free setup period with no fees charged during this time. This period begins on the date of account activation and is intended solely for initial configuration, onboarding, and setup of the services.

2. Cancellation Fee and Related Obligations

By signing up for our services, you expressly agree to the following:

• If you cancel your account or services within the first 90 days of the start of your service (or account activation), you will be charged a $2,000 Cancellation Fee. This fee will be charged directly to the payment method or account on file.
• You agree that you cannot dispute this charge. You expressly waive any right to dispute, chargeback, or otherwise contest the $2,000 Cancellation Fee with your bank, card issuer, payment processor, or any other third party.
• You understand and acknowledge that you are being charged for AI usage fees, credits, and related service costs associated with the platform and services provided by AIFIRM.

3. Option to Avoid the Cancellation Fee

To avoid the $2,000 Cancellation Fee, Clients will be offered up to 90 days of free hosting, subject to the following conditions:

• You must begin processing payments on your website or through the integrated services within the first 7 days of account activation/understanding of these terms.
• All Clients agree that they must either:
  • Accept the up to 90 days of free hosting (and comply with the requirement to begin processing payments within the first 7 days), or
  • Begin processing payments on their website within the required timeframe.
• Failure to begin processing payments within the first 7 days may result in the application of the Cancellation Fee or other accumulated charges as described herein.

4. Zero Balance and Accumulated Fees

Having a zero balance on your account will activate any accumulated fees (including but not limited to AI usage fees, credits, hosting-related charges, and the Cancellation Fee if applicable). These accumulated fees will be charged to the payment method or account on file.

5. Non-Cancellable Nature of This Agreement

This Agreement cannot be canceled by the Client except under the following limited circumstances:

• The Company, in its sole discretion, agrees in writing to a refund or waiver of fees; or
• The Client pays the full $2,000 Cancellation Service Fee (and any other outstanding or accumulated fees).

No other method of cancellation, termination, or avoidance of fees is permitted. Verbal statements, emails, or informal communications do not modify this provision.

7. Acceptance of Terms

By creating an account, signing up for services, or continuing to use the platform after being presented with these terms, you confirm that you have read, understood, and irrevocably agree to all terms set forth in this Agreement, including the $2,000 Cancellation Fee, the non-dispute provision, the payment processing requirements, the zero-balance activation of fees, and the limited cancellation rights.

8. General Provisions

• This Agreement constitutes the entire agreement between you and AIFIRM regarding the subject matter herein and supersedes all prior or contemporaneous understandings.
• We reserve the right to update or modify these Terms at any time. Continued use of the services after changes constitutes acceptance of the revised Terms.
• If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
